Terms of Service

1. Agreement to Terms

By accessing or using GarageForge ("the Service"), operated by DerMar Consulting Group LLC (dba ForgeWorks) ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms apply to all users, including company administrators, dispatchers, and technicians.

2. Description of Service

GarageForge is a cloud-based inspection station and repair shop management platform. The Service allows businesses to schedule and manage repair orders and vehicle inspections, dispatch technicians, track sticker inventory, and capture digital vehicle inspection (DVI) records. GarageForge is provided as a software-as-a-service (SaaS) product accessible via web browser and mobile device.

3. Account Registration

You must register for an account to use the Service. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and not share it with others
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activity that occurs under your account

You must be at least 18 years old to create an account. Each company account may have multiple user seats as permitted by your subscription plan.

4. Subscription and Billing

Access to the Service requires a paid subscription. By subscribing, you agree to the following:

• Subscription fees are billed monthly in advance
• All fees are non-refundable except as required by law
• We reserve the right to change pricing with 30 days' notice
• Your subscription renews automatically unless cancelled before the renewal date
• Downgrades take effect at the end of the current billing period; upgrades take effect immediately
• Failed payments may result in service interruption or account downgrade

Payments are processed by Stripe. By providing payment information, you authorize us to charge your payment method for all fees incurred.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Upload or transmit malicious code, viruses, or other harmful content
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to any part of the Service
• Harvest or collect information about other users without their consent
• Use the Service for any purpose other than managing legitimate repair shop or inspection station operations

6. Your Data

You retain ownership of all data you upload to the Service, including customer records, vehicle records, and photos. By using the Service, you grant us a limited license to store, process, and display your data solely to provide the Service.

You are responsible for the accuracy and legality of data you submit, including ensuring you have appropriate consent from individuals whose information you upload (such as customer contact information).

7. Data Retention

Repair order and inspection history, and photos, are retained according to your subscription plan's history limit. Upon cancellation or account deletion, we will retain your data for 30 days before permanent deletion, during which you may export your records. We are not responsible for data loss after this period.

8. Intellectual Property

The Service, including its software, design, and content, is owned by GarageForge and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your business purposes. You may not copy, modify, reverse engineer, or create derivative works of the Service.

9. Termination

You may cancel your subscription at any time through the billing page. We may suspend or terminate your account if you violate these Terms, fail to pay fees, or engage in conduct that harms other users or the Service. Upon termination, your right to access the Service ceases immediately.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

VIN decoding and inspection due-date suggestions are generated based on information you and third-party data sources provide. We make no guarantee that VIN-decoded vehicle data is complete or error-free, and you are solely responsible for verifying inspection results and sticker compliance with applicable state regulations.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GARAGEFORGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING ANY LOSS OF DATA, LOSS OF REVENUE, OR LOSS OF PROFITS (INCLUDING REVENUE OR PROFITS LOST AS A RESULT OF DATA LOSS, CORRUPTION, OR UNAVAILABILITY), LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING YOUR OWN BACKUPS OF ANY DATA YOU CONSIDER IMPORTANT. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE FEES YOU PAID IN THE THREE MONTHS PRECEDING THE CLAIM.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by displaying a notice in the Service at least 14 days before the changes take effect. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the United States and the State of Pennsylvania, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Pennsylvania.
